| NON-PAYMENT OF DIVIDENDS FOR THE 2007/08 BUSINESS YEAR

Dividends for the 2007/08 business year will not be paid out. Upon reviewing the resolution by the general meeting of 23 September 2008 determining a dividend of EUR 0.40 per share, the executive board determined that the resolution was not passed in accordance with the Austrian Stock Corporation Act.
The executive board therefore felt compelled to refrain from paying out dividends and has agreed this measure with the chairman of the supervisory board. To allow this decision to come into effect, the executive board will challenge the resolution of the general meeting from 23 September 2008, and will today, to this end, file a lawsuit contesting the validity of the aforementioned resolution at the Vienna Commercial Court. |
