Share buyback programmes have always been part of IMMOFINANZ’s distribution policy – depending on the market environment and liquidity. Here you can find an overview of our current and past programmes for the repurchase or sale of treasury shares.

IMMOFINANZ has carried out another share buyback. In accordance with resolutions of the Executive Board and Supervisory Board, a share buyback programme for treasury shares ("Share Buyback Programme 2022") was carried out on the basis of the authorisation by the 27th Annual General Meeting on 1 October 2020 (renewed by the authorisation of the 29th Annual General Meeting on 12 July 2022), pursuant to section 65 (1) 8 of the Austrian Stock Corporation Act.

Share purchases under the Share Buyback Programme 2022 were made by IMMOFINANZ AG. The share buyback programme 2022 expired on 31 July 2022. Between 20 June 2022 and 29 July 2022, a total of 694,557 shares were repurchased on the stock exchange at a weighted average price of EUR 14.58 per share.

Disposal of treasury shares September/October 2021

As announced in the ad hoc announcement of 26 August 2021, the Executive Board of IMMOFINANZ AG has resolved to exercise the right to early mandatory conversion of the 4.00% mandatory convertible notes due 2023 (ISIN: AT0000A2HPN2) in the aggregate principal amount of EUR 120 million in accordance with the terms and conditions of the mandatory convertible notes. 

On 5 October 2021, 6,997,200 treasury shares were issued to the holders of the mandatory convertible bonds due 2023 as a result of an early mandatory conversion by IMMOFINANZ AG.

IMMOFINANZ thus holds 1,028 treasury shares as of 5 October 2021. This corresponds to a proportion rounded down to approximately 0.00% of the total number of issued IMMOFINANZ shares of 123,293,795 shares.

Sale of treasury shares July 2020

As announced in the ad-hoc announcement dated 09 July 2020, the Company placed 4,210,298 treasury shares, corresponding to approx. 3.76% of the current share capital of the Company, by way of an accelerated bookbuilding procedure under exclusion of subscription rights with institutional investors. The selling price per share amounts to EUR 15.31.
